I | 申报资料显示,港通医疗实控人陈永曾在2006年至2016年期间,多次向安徽医科大学第二附属医院原院长张新书行贿约合人民币36.79万元,用于获取该医院的相关项目。但伴随着张新书于2018年遭到立案调查后,陈永也遭到有关部门的留置调查。港通医疗的副总经理樊雄然曾在2011年向遂宁市中心医院原副院长丁波行贿10万元,以此换取该人士对其竞标项目的“关照”。行贿不仅发生在港通医疗的高管身上,其业务相关负责人也曾参与其中。信风(ID:TradeWind01)获取的判决书显示,港通医疗的销售经理鄢某曾在2012年卷入菏泽市⽴医院采购办原副主任白某的贪腐案中。“2013年3⽉份,我在⽩某办公室,把投标的资料交给他,中标后签了合同。同年6、7⽉份,我去他办公室,为了感谢他和搞好关系,给他5000元现⾦。

J | ”鄢某表示。投标人之间共谋操纵投标价格及结果的“串通投标”、“围标”等模式也一度成为港通医疗获取合同订单的不正当竞争方式。信风(ID:TradeWind01)获取的一份文件显示,港通医疗的合作方四川桑瑞思环境技术工程有限公司(下称“桑瑞思”)技术负责人徐某曾在2011年与港通医疗“合谋”围标四川省妇幼保健院一期室内装饰装修工程,最后港通医疗成功中标该项目。该事件直至2019年原四川投资非经营性项目代建中心副主任王建中被查后才浮出水面。桑瑞思目前仍是港通医疗的重要合作方,二者组成的联合体在2020年还中标“四川大学华西天府医院项目医疗专项系统(一期)设施采购及安装项目”,并为港通医疗带来0.40亿元收入。尽管过往的“围标”历史未能在港通医疗的招股书中得到充分披露,但这并不是港通医疗招投标过程中的不当竞争孤例。今年3月,德州市城管局发现港通医疗提供的招投标文件与其他投标公司的错误均一致,并以此认定为“围标”并处以罚款。

L | 虽然管理部门尚未对以港通医疗为代表的医院建设企业实施负面清单管理,但医药行业的乱象频发已受到更多关注。2020年8月,国家医保局发布《国家医疗保障局关于建立医药价格和招采信用评价制度的指导意见》,对医药类企业招投标过程中的行贿、围标等失信行为进行负面清单管理;并指出失信行为涉及省份数量达到规定条件后,将启动全国联合处置;如果针对医药行业的负面清单管理同样向医疗行业延伸,港通医疗自身的违规操作或给其自身带来潜在的准入风险。坏账计提的的“黑洞” 高企不下的应收账款也在给港通医疗此番闯关IPO带来更多不确定性。

M | 截至2021年底,港通医疗的应收账款余额(含合同资产)达5.75亿元,占当年营业收入比重已达84.34%。港通医疗对此曾解释道,其终端客户系公立医院为主,财政拨款速度等会影响相关医院的支付进度,进而造成收款进度的滞后。深交所曾要求港通医疗补充披露客户是否存在资金链紧张等情形。“结合重点逾期客户或账龄较长客户的相关情况进行分析,说明是否存在资金链紧张、经营困难、被列为失信被执行人的客户,是否存在应单项计提坏账准备而未单项计提的情形。”深交所指出。据港通医疗披露,截至去年年末逾期金额在500万以上的大客户共12家,且均不存在资金链紧张、经营困难、被列为失信被执行人的情形。港通医疗还曾强调“与其(上述客户)日常业务联系正常,不存在应单项计提坏账准备的情形”。但信风(ID:TradeWind01)注意到,港通医疗上述部分大客户近期刚遭遇法院强制执行,但相关信息并未在招股书中得到足够呈现,这是否将给港通医疗的业绩带来潜在冲击犹未可知。

N | 以前五大客户中国华西企业股份有限公司(下称“华西股份”)为例,截至2021年末港通医疗对华西股份的应收账款余额高达0.17亿元,而该公司刚于今年8月刚刚成为限制高消费企业,并于今年9月被法院列为被执行人,执行金额为0.01亿元。截至2021年末,港通医疗的应收账款逾期金额达3.02亿元,占应收账款的比例已达52.52%,而同期坏账准备金额仅为0.93亿元。

o | 这意味着,港通医疗去年底5.75亿元的应收账款中,有超过半数已经逾期,但其中被计提坏账的比例却仅有16.17%。

p | 对于如此低的坏账准备计提,港通医疗曾将合理性归结为“客户优质”。

q | “公司应收账款客户主要系公立医院、政府工程管理公司、国有控股建设企业等单位,客户信用状况整体较为优质。同时,医院建设款项主要来自财政拨款,最终实际坏账的可能性较低。

r | 未来,公司将持续加强收款,以缩短回款时间。”港通医疗表示。但据《首发业务若干问题解答》规定,客户的回款周期、历史逾期、违约风险、时间损失、账龄结构等因素都应该被纳入减值损失的考虑中。该文件还强调发行人不应以欠款方为政府工程客户或历史上未发生实际损失等理由而不计提坏账准备。事实上,不少国企、公立医院都曾被港通医疗告上法庭。报告期内包括中建八局、重庆市璧山区人民医院等都曾由因逾期付款被港通医疗推上被告席。应收账款的催收最终不得不表达为频繁的诉讼背后,港通医疗的坏账风险是否已经得到充分披露,而这又会对其业绩带来哪些潜在威胁,都是市场关注的焦点。事实上,高应收账款早在2017年就一度成为摆在港通医疗面前的上市障碍。“一般来说,企业都到上市这步了,逾期应收账款不会太高。企业也会和客户进行沟通,加强催收。如果到上市都收不回来逾期的账款,那可能确实存在一定的回收困难。”一位北京的审计人士表示。返回搜狐,查看更多责任编辑:
